Ampro Industries, Inc. Product Testing Terms and Conditions Thank you for your interest in being a tester of our products! Your feedback will allow us to iterate and create the best user experience. These Product Testing Terms and Conditions (the “Terms”) govern your access and use of the products and services (collectively, “Products”) provided by Ampro Industries, Inc. (“Company,” “us,” “we” or “our”) to you (“User” or “you”). *

You agree that by using the Products in any way, including you expressly acknowledge that you have read and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH SUCH TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PRODUCTS AND YOU MUST DISCONTINUE USE IMMEDIATELY. *

The Products are intended for users who are at least 18 years old. Persons under such age are not permitted to use the Products. If you breach any of the Terms, your authorization to use the Products will automatically terminate, and any Products, whether authorized or unauthorized, must be immediately destroyed. We reserve the right to pursue any additional remedies available in law or equity. Selection of Product Testers: A number of product testers will be selected dependent on the campaign requirements. The selection shall be at our discretion on either a random selection basis or on an individual's criteria determined by: (age, occupation, geographical location etc.) This is dictated by the requirements or information required in regards to a product or service. *

I Agree

No Liability: The Products are in the stage of development and may contain errors and other issues. They are provided only for testing and product improvement purposes and on a completely as-is and as-available basis, without representation, warranty or guarantee of any kind. You acknowledge and understand that the Product is a prototype version that is not expected to function fully or flawlessly during the Test; may contain defects and/or other problems; and may include product features that are not features that will be included in commercially available versions of the Product. You acknowledge and understand that the Product has not yet begun, or may still in the process of, testing for compliance with regulatory standards and may not currently meet those standards. We make no representation as to the availability, functionality and quality of the Product. Do not use the Products for any high value transactions or any commercial purposes. These Products are intended for your personal testing. Do not use the Product on any third party. You voluntarily assume all risks of loss, malfunction, inability to use and any other problem, difficulty or damages that may occur. You acknowledge and understand that there are risks and hazards connected with participating in the testing of a prototype product. However, you hereby elect to voluntarily participate in the Test, even though participation in the Test may be inherently, or may become during the course of the Test, hazardous to your health. You knowingly and voluntarily assume all such risks, both known and unknown, even if arising from the negligence of the Company, and assume full responsibility for your participation in the Test. You agree to use the utmost caution and care to avoid injury or damage to yourself and others. You further agree that prior to participating in the Test, you will inspect the Product to be used, and if you believe anything is unsafe, you will immediately cease to participate in the Test and will inform the Company. Indemnify and Hold Harmless: You, for yourself, and on behalf of your family, estate, heirs, executors, trustees, personal representatives, successors and assigns, hereby release, waive, discharge and covenant not to sue Company, its members, officers, stockholders, agents and employees from any and all liability, costs or expenses, claims, demands, actions and causes of action whatsoever for any loss, damage or injury, including death, that may be sustained by me, your spouse, child/children, or to any persons or property belonging to you or under your care, custody or control, arising out of or relating to your participation in the Test, or while in any way engaged with activities related to the Test, wherever, whenever, or however the same may occur, regardless of who is at fault and including as a result of the negligence or fault of any of the Company. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” You further agree to indemnify, save and hold harmless the Company, its members, officers, stockholders, agents and employees and each of them, from any and all losses, liabilities, damages or costs they may incur due to your participation in the Test, whether caused by the negligence of any or all of the Company, its members, officers, stockholders, agents and employees , or otherwise, and to reimburse them for any costs and expenses, including, without limitation, attorneys’ fees, incurred in defending such actions. It is your express intent that this Agreement shall bind you, all members of your family, your heirs, assigns and personal representative and shall be deemed as a release, waiver, discharge, and covenant not to sue the Company, its members, officers, stockholders, agents and employees. Intellectual Property: We own all rights, title, and interest in and to the Products and all related technology and intellectual property rights, including the trademarks, copyrights and patents related to the Products. We grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to use the Products solely for purposes of testing the Products and providing us with feedback. You will not share, distribute, modify, or reverse engineer the Products. *

Confidential: Anything we or our affiliates provide or communicate to you is our confidential information (“Confidential Information”). This includes the Products, related materials and documentation, product roadmap, features, marketing plans, any of our communications with you, your participation in the product testing, and anything you learn from your participation. At all times, you will protect and preserve the Confidential Information as confidential, and not use the Confidential Information for any purpose except for purposes of testing the Products at our direction. You will not disclose, distribute or disseminate the Confidential Information to any third party without our prior written consent. You may not under any circumstances distribute the Confidential Information in any form to any third party. You will provide your Feedback (as defined below) solely to us. You will not share your experience with others. “Confidential Information” means any information disclosed by Company to you, either directly or indirectly, in writing, orally or by inspection of tangible objects. You understand and agree that Confidential Information shall not include any information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure by Company; (ii) becomes publicly known and made generally available after disclosure by Company to you through no action or inaction on your part; (iii) is already in your possession at the time of disclosure by Company; (iv) is obtained from a third party without a breach of such third party's obligations of confidentiality; (v) is independently developed by you without use of or reference to the Confidential Information provided by Company to you, as shown by documents and other competent evidence in your possession or (vi) is required by law to be disclosed by you, provided that you promptly give Company written notice of such requirement prior to any disclosure so that Company may seek a protective order or other appropriate relief. *

Feedback. You will provide prompt feedback to us regarding your use of the Products when requested. Prompt feedback, within a deadline provided when receiving the product is a requirement for compensation. All the submissions, including any questions, answers, comments, suggestions, ideas, quotes, recordings, screenshots or other information regarding the Products (“Feedback”), provided by you to us or recorded by us shall become our sole property. You agree that we may use, disclose, reproduce, license, distribute and otherwise commercialize your Feedback as we see fit. *

Specific Performance and Injunctive Relief: You acknowledge that in the event of a breach of these Terms by the Recipient, a substantial injury could result to us, and money damages will not be a sufficient remedy for such breach. Therefore, in the event that you engages in, or threaten to engage in any act which violates any provision of the Terms, we shall be entitled, in addition to all other remedies which may be available to it under law, to injunctive relief (including, without limitation, temporary restraining orders, or preliminary or permanent injunctions) and specific enforcement of the Terms, without the necessity of proving actual damages to you and without having to post a bond or other security in connection with the granting of any such relief. Governing Law; Jurisdiction and Venue: The Terms, and all matters arising directly or indirectly from the Terms, shall be governed by and construed in accordance with the laws of the State of Tennessee, Shelby County without regard to its conflict of laws rules applicable to contracts to be performed entirely within the State of Tennessee. Arbitration: Any dispute arising out of or relating to the Terms shall be finally settled by binding arbitration conducted expeditiously in accordance with the J.A.M.S./Endispute Comprehensive Arbitration Rules and Procedures. The arbitration shall be governed by the United States Arbitration Act, 9 U.S.C. Sections 1-16, and judgment upon the award rendered by the arbitrators may be entered by any court having jurisdiction thereof. The arbitration shall take place in the State of New York. Entire Agreement: The Terms constitute the entire agreement of the parties with respect to the subject matter hereof and supersedes any and all existing or prior agreements and communications, whether written or oral, relating to the subject matter hereof. No Assignment: You may not assign or transfer the Terms without our prior written consent. Modification and Waiver: We may modify the Terms at our sole discretion. The failure of either party to enforce its rights under the Terms at any time for any period shall not be construed as a waiver of such rights. Severability: If any term or provision of the Terms, or the application thereof to any person or circumstances, shall to any extent be invalid or unenforceable, the remaining provisions of the Terms shall not be affected thereby, and each term of the Terms shall be valid and enforceable to the fullest extent permitted by law. *
